FlosysENG Terms of Service
Effective date: July 11, 2026
Welcome to FlosysENG. Please read these Terms of Service (“Terms”, “ToS”) carefully before using the FlosysENG web application, calculation engines, and related services (collectively, the “Service”) operated by FlosysENG (“us”, “we”, or “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.
1. Description of Service
FlosysENG is a cloud-based engineering tool designed for fluid dynamics, gas systems calculation, and process piping logic validation. The Service provides computational outputs including, but not limited to, isothermal flow equations, pressure loss evaluations based on SEMI F32 standard, and automated PDF report generation.
2. Engineering Liability & Disclaimers (CRITICAL)
2.1. Preliminary Reference Only: The Service provides theoretical calculations based on the parameters you input and established mathematical models (such as SEMI F32 standards). The results, reports, and validations generated by the Service are strictly intended as preliminary design aids and educational references.
2.2. Not a Substitute for Professional Certification: The Service does not constitute certified professional engineering advice. It is not a substitute for formal safety compliance reviews (e.g., SEMI S2). You acknowledge and agree that all outputs generated by FlosysENG must be independently verified and approved by a licensed professional engineer (PE), registered technology professional, chartered engineer, authorized engineer, or other legally qualified domain expert authorized by the applicable local jurisdiction prior to any physical implementation, equipment procurement, or facility construction. The ultimate responsibility for the safety, regulatory compliance, and operational functionality of any physical system rests solely and entirely with you and your certifying engineer. FlosysENG assumes no liability whatsoever for any professional engineering decisions or physical implementations made in reliance on the Service’s outputs.
2.3. High-Risk Activities & Live Control Disclaimer: The Service is designed exclusively as a static computational design aid. It is not designed, manufactured, or intended for use as a live control system, fail-safe mechanism, or automated operational software. You are strictly prohibited from integrating the Service (e.g., via API or automated scripts) into live Facility Management Control Systems (FMCS), Supervisory Control and Data Acquisition (SCADA) systems, any semiconductor equipment control systems (including but not limited to Gas Cabinets, Valve Manifold Boxes, or process chamber PLCs), or any automated valve, piping, or routing controls for toxic, corrosive, flammable, or otherwise hazardous semiconductor gases.
(Clarification for Semiconductor Engineering): While the Service is intended to calculate parameters for specialty gas systems (such as those adhering to SEMI F32 standards), it remains a preliminary static tool. All final physical implementations, material selections, and live facility routing of hazardous gases must rely on independent PE verification as stated in Section 2.2, and never on the Service’s real-time outputs.
2.4. No Third-Party Reliance: The Service and its generated outputs (including but not limited to PDF reports, UI screenshots, diagrams, raw data exports, API responses, and calculation results) are provided strictly for the sole use and benefit of the registered User. FlosysENG owes no duty of care, legal obligation, or contractual privity to any third party. If you share, distribute, or otherwise make available any reports or outputs to a third party, you do so entirely at your own risk, and you bear the absolute responsibility to explicitly inform such third parties that the outputs serve as preliminary engineering references and remain uncertified unless and until they are independently verified and formally approved by a licensed professional engineer (PE), registered technology professional, chartered engineer, authorized engineer, or other legally qualified domain expert authorized by the applicable local jurisdiction. FlosysENG accepts absolutely no liability for any claims, damages, or losses brought by any third party arising from their access to, interception of, unauthorized copying, misappropriation, or reliance on the Service’s outputs, regardless of how such third party acquired the outputs (whether legally or illegally, authorized or unauthorized).
3. Account, Credits, and Payment
3.1. Pre-paid Point System: The Service operates on a pre-paid credit/point system. Specific computational actions require a deduction of points from your account balance.
3.2. Account Balances & Non-Expiration: Purchased points do not have an expiration date as long as your account remains active and the Service continues to be fully operational. You are responsible for maintaining a sufficient point balance to utilize the Service. Points have no cash value, cannot be redeemed or refunded for fiat currency under any circumstances, and are strictly non-transferable between accounts.
3.3. Non-Refundable Policy & Credit-Only Refunds: Points purchased and successfully added to your account are non-refundable and cannot be exchanged for fiat currency. Points deducted for executed calculations or generated reports will not be refunded. If a calculation or report generation process is interrupted due to client-side network instability, browser closure, or local hardware failure after the request has been sent, the deducted points will not be refunded. In the rare event of a verified, systemic server-side error by FlosysENG that prevents the completion of a requested action, refunds will be considered at our sole discretion. Any approved refund will be issued exclusively in the form of FlosysENG credits returned to your account balance. Under no circumstances will FlosysENG issue refunds in fiat currency, credit card charge reversals, or cash equivalents.
3.4. Chargebacks and Payment Disputes: If you initiate a chargeback, reversal, or payment dispute with your credit card issuer or payment provider for a valid purchase of credits, FlosysENG reserves the right to immediately suspend or permanently terminate your account without prior notice. Such actions are considered a material breach of these Terms. Upon termination under this clause, all remaining credits will be immediately forfeited, and you will permanently lose access to the Service’s calculation engine. To reinstate an account suspended due to a chargeback, you must repay the disputed amount in full, in addition to any applicable dispute fees or penalties imposed by our payment processor.
3.5. Right to Modify or Terminate: While your credits do not expire, FlosysENG is not obligated to operate the Service indefinitely. We reserve the right to modify the credit system, restructure pricing, or completely discontinue the Service at any time. In the event of Service discontinuation or significant restructuring of the point system, FlosysENG will make reasonable efforts to provide a minimum of thirty (30) days’ prior notice, allowing you time to utilize remaining balances. After such notice period, any unused points will be forfeited without compensation or cash equivalent.
3.6. Billing and Credit Deduction Disputes: You must notify FlosysENG in writing of any suspected errors or discrepancies in your credit deductions within thirty (30) days after the date the deduction occurred. If you do not notify us within this thirty-day period, you agree that the deduction is accurate, and you waive any right to dispute such deduction or request a credit refund for that specific transaction.
4. User Responsibilities & Data Input
4.1. Accuracy of Input: The integrity of the Service’s output relies entirely on the accuracy of your inputted parameters. You bear sole responsibility for ensuring the correctness of the data you provide.
4.2. Prohibited Uses & Legal Recourse: You agree not to reverse-engineer, decompile, or attempt to extract the source code, proprietary algorithms, or database structures (such as our custom gas matrices) underlying the Service. You are strictly prohibited from using automated systems (e.g., bots, scrapers, spiders) to extract computational data, or attempting to bypass the pre-paid point system. FlosysENG reserves the right to immediately terminate your access without notice, seek injunctive relief, and pursue monetary damages for any unauthorized access or intellectual property infringement to the fullest extent permitted by law.
4.3. User Data Rights: By inputting project configurations or piping logic into the Service, you represent and warrant that you hold all necessary legal rights and permissions to use such data and that it does not infringe upon the intellectual property or trade secret rights of any third party.
4.4. No Obligation to Monitor & Passive Processing: FlosysENG acts solely as a passive conduit and automated computational processor for the data you input. We do not proactively monitor, review, or verify the legality, accuracy, origin, or authorization of your inputted parameters, proprietary matrices, or project data. To the fullest extent permitted by law, FlosysENG expressly disclaims any direct, joint, vicarious, or contributory liability arising from your submission of unauthorized, illegal, or misappropriated third-party data or trade secrets.
5. Confidentiality and Data Protection
5.1. Project Data & Security Limitations: We understand that the project names, system configurations, and piping logic you input may contain proprietary operational data. FlosysENG implements industry-standard security measures, including data encryption in transit. However, because no method of transmission over the Internet or electronic storage is 100% secure, we cannot guarantee absolute security. We explicitly disclaim liability for any data breaches, data loss, or unauthorized access resulting from cyberattacks, force majeure, or user-side negligence.
5.2. Data Usage: We do not sell, share, or distribute your specific engineering inputs to third parties. Anonymized, aggregated usage data may be utilized internally to improve our calculation models and software performance.
5.3. Ephemeral Processing & No Data Retention: FlosysENG operates primarily as a real-time calculation engine and is explicitly not a data backup or cloud storage service. We do not persistently store your inputted project parameters. PDF reports are generated strictly upon your explicit request. Upon generation, these reports are streamed directly to your local device and are never saved or stored on our servers’ persistent storage. We have no obligation to retain, store, export, or return any of your data, calculation histories, or reports under any circumstances. You are solely responsible for independently recording your engineering inputs and ensuring the successful save of your downloaded reports to your local device.
6. Intellectual Property & Feedback
6.1. FlosysENG IP: The Service and its original content, features, functionalities, calculation algorithms, and UI/UX design are and will remain the exclusive property of FlosysENG. The Service is protected by copyright, trademark, and other intellectual property laws.
6.2. Feedback Assignment: Any feedback, comments, ideas, bug reports, or suggestions you may provide regarding the Service (“Feedback”) is entirely voluntary. You acknowledge and agree that all Feedback is provided on a non-confidential and non-proprietary basis. You hereby grant FlosysENG a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, commercialize, and display such Feedback in any manner and for any purpose. You explicitly agree that FlosysENG may do so without any compensation, reimbursement, royalties, account credits, discounts, equity, or any other form of financial or non-financial remuneration or obligation to you. To the fullest extent permitted by applicable law, you explicitly waive any “moral rights” or equivalent rights you may have in such Feedback.
7. Third-Party Components & Beta Features
7.1. Third-Party Tools: The Service may utilize third-party software, open-source libraries, or external APIs (e.g., PDF generation tools). FlosysENG makes no warranties regarding the security, accuracy, or continuous availability of these third-party components and shall not be liable for any issues directly arising from their malfunction.
7.2. Beta Features: FlosysENG may occasionally release calculation modules, tools, or functionalities designated as “Beta”, “Preview”, or “Experimental”. These features are provided for testing and evaluation purposes only, may contain bugs, and are provided entirely “AS IS” and “AS AVAILABLE” without any warranties of any kind. You acknowledge and agree that your use of any Beta feature is subject to all provisions of these Terms, including but not limited to our intellectual property rights (Section 6), disclaimer of warranties (Section 8), limitation of liability (Section 9), indemnification (Section 11), and the strictly non-refundable pre-paid point policy (Section 3). Furthermore, FlosysENG reserves the right to modify, suspend, or entirely discontinue any Beta feature at any time without prior notice, liability, or compensation to you.
8. Disclaimer of Warranties
Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by applicable law, FlosysENG expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the computational results will meet your specific engineering requirements.
9. Limitation of Liability and Financial Cap
To the maximum extent permitted by law, in no event shall FlosysENG (including its founders, directors, employees, partners, agents, suppliers, or affiliates) be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, facility downtime, equipment failure, regulatory compliance violations, or other intangible losses, resulting from:
(i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any computational content obtained from the Service; or (iv) unauthorized access, use, or alteration of your transmissions or data.
This limitation applies whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
In no event shall FlosysENG’s total aggregate liability for all claims arising out of or relating to the Service exceed the total amount paid by you to FlosysENG during the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred U.S. dollars ($100 USD), whichever is greater.
10. Service Interruption and No SLA
While we strive to ensure the Service is continuously operational, FlosysENG does not provide any Service Level Agreement (SLA). The computational engines and web services may be interrupted, delayed, or subject to scheduled or unscheduled downtime due to maintenance, network congestion, or force majeure events. FlosysENG shall not be held liable for any loss of business, missed project deadlines, or financial damages resulting from your inability to access the Service or unexpected interruptions during a calculation process.
11. Indemnification
You agree to defend, indemnify, and hold harmless FlosysENG, its affiliates, and their respective directors, officers, and employees from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Service—including, but not limited to, any physical construction, procurement, operational failures, environmental damage, or regulatory fines/penalties (e.g., OSHA, EPA, or applicable regional equivalents) resulting from reliance on the Service’s preliminary computational outputs, as well as any claims that your inputted data infringes third-party intellectual property.
12. Errors, Inaccuracies, and Third-Party Data
We are continuously updating and improving our engineering calculation models. Our calculations rely on various scientific constants, physical properties, and industry-standard engineering data sourced from third-party references and public domain materials. We do not warrant the absolute accuracy, completeness, or currentness of these underlying third-party physical data or our computational models. We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice.
13. Account Termination
We reserve the right to suspend or permanently terminate your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including but not limited to a breach of these Terms. Upon termination, your right to use the Service will immediately cease, and any remaining credit balances will be forfeited as outlined in Section 3.4.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of China (Taiwan), without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the Taiwan Taipei District Court.
Notwithstanding the foregoing, FlosysENG reserves the right to seek immediate injunctive relief or pursue claims in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights or data security.
15. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
16. Survival
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, confidentiality obligations, and limitations of liability.
